Tips for Using This Template

  • For MOUs involving government bodies, ensure the signatory has proper authorization (board resolution, government order) to execute.
  • Stamp duty on MOUs varies by state - check the applicable schedule under the state's Stamp Act before execution.
  • If the MOU involves a government party and private entity, check if DPIIT or ministry-specific guidelines apply.
  • Clearly state whether the MOU is binding or non-binding under the Indian Contract Act to avoid litigation over enforceability.

Frequently Asked Questions

Is an MOU enforceable in Indian courts?
An MOU can be enforceable if it meets the requirements of a valid contract under the Indian Contract Act, 1872: offer, acceptance, consideration, free consent, and lawful object. The key is the intent of the parties. If the MOU clearly states it is non-binding, courts generally respect that. Binding provisions (confidentiality, arbitration) can be enforced separately.
Do MOUs with government bodies require stamp duty?
Yes, MOUs generally require stamp duty under the Indian Stamp Act, 1899. The rate varies by state and the nature of the MOU. Some government-to-government MOUs may be exempt. Check the applicable state schedule or consult a legal advisor.
Can an MOU between Indian and foreign parties be governed by Indian law?
Yes, the parties can agree on Indian law as the governing law. For international MOUs, also address: which country's courts have jurisdiction, the language of proceedings, and whether international arbitration rules (ICC, SIAC, LCIA) should apply alongside the Indian Arbitration Act.
