1. Parties

This Freelance Contract ("Agreement") is entered into on [Date] between [Client Name/Company], with a principal address at [Address] ("Client"), and [Freelancer Name], operating as [Business Name, if applicable], with an address at [Address] ("Freelancer"). The Freelancer is engaged as an independent contractor and not as an employee of the Client.

2. Scope of Work

The Freelancer shall perform the following services ("Services"): [Detailed description of deliverables, milestones, and specifications]. The Services shall be completed according to the timeline set forth in Exhibit A. Any work beyond the scope described herein shall require a separate written agreement or a change order signed by both Parties. The Freelancer shall provide their own tools, equipment, and workspace unless otherwise agreed.

3. Payment Terms

The Client shall pay the Freelancer a total fee of [Currency] [Amount] for the Services. Payment shall be structured as follows: [50%] upon execution of this Agreement, and [50%] upon final delivery and acceptance. Invoices are due within [14/30] days of receipt. Late payments shall accrue interest at [1.5%] per month. The Freelancer reserves the right to suspend work if payment is overdue by more than [15] days.

4. Intellectual Property

Upon full payment, all intellectual property rights in the deliverables shall transfer to the Client. Any pre-existing intellectual property of the Freelancer used in the deliverables shall remain the Freelancer's property, with a perpetual license granted to the Client for the agreed purpose.

5. Revisions and Acceptance

The Client shall have [2/3] rounds of revisions included in the project fee. Additional revisions shall be billed at [Currency] [Hourly Rate] per hour. The Client shall provide feedback within [5] business days of each deliverable submission. Failure to respond within this period constitutes acceptance of the deliverable as submitted.

6. Termination

Either party may terminate this Agreement with [14] days' written notice. Upon termination: (a) the Client shall pay for all work completed up to the date of termination; (b) the Freelancer shall deliver all completed work and work-in-progress; (c) any advance payment for unperformed work shall be refunded. The confidentiality and intellectual property provisions shall survive termination.
